1. Acceptance of Terms & Eligibility

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and Niche Monitor Team ("Niche Monitor", "we", "us").

You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account or use our platform. By registering or accessing the platform, you represent that you have the legal capacity to enter into this agreement.

2. Description of Services

Niche Monitor is a demand validation and market research platform designed to help entrepreneurs discover market pain points from public online discussions, synthesize high-opportunity product gaps, and generate smoke-test landing pages to assess commercial buyer interest before engineering full software products.

3. Acceptable Use Policy & Community Standards

You agree to use Niche Monitor only for lawful business purposes. You explicitly agree NOT to:

• Harvest or scrape private personal data, confidential records, or non-public forum submissions.
• Spam Reddit subreddits, forums, social media channels, or messaging apps with unsolicited commercial links.
• Deploy smoke-test landing pages that impersonate existing trademarks, brands, copyrighted entities, or public figures without legal authorization.
• Fabricate fictitious customer endorsements, fake 5-star ratings, or deceptive testimonials that violate consumer protection laws (including FTC 16 CFR Part 465).
• Use the service to promote illegal goods, fraudulent schemes, deceptive financial opportunities, malware, or defamatory material.
• Attempt to reverse engineer, decompile, or breach the infrastructure of Niche Monitor.

4. AI-Assisted Content & Smoke-Test Disclaimer

Niche Monitor uses artificial intelligence algorithms to synthesize research and draft suggested landing page text. You acknowledge and agree that:

• AI-generated suggestions, gap scores, and copy drafts are delivered for informational and research guidance only and do not constitute legal, financial, or certified investment advice.
• You, as the publisher, are solely responsible for reviewing, editing, verifying, and publishing any smoke-test landing page.
• When collecting leads or pre-orders, you must provide transparent notices to consumers clarifying that the product is in development and that joining a waitlist does not constitute a guaranteed delivery date unless explicitly stated.

5. Billing, Subscriptions & Merchant of Record

All purchases, credit top-ups, and subscriptions on Niche Monitor are handled by our trusted Merchant of Record:

By purchasing a paid subscription or credit package, you authorize Lemon Squeezy to charge your selected payment method. Subscriptions automatically renew at the end of each billing period unless cancelled prior to renewal via your Dashboard or the Lemon Squeezy customer billing portal.

6. Intellectual Property Rights

Your Content: You retain all ownership rights to your original business ideas, queries, market selections, and any text you input or publish through the platform.

Our Platform: Niche Monitor, its logos, design elements, algorithms, proprietary workflows, and underlying source code are protected by copyright, trademark, and intellectual property laws. You are granted a non-exclusive, revocable, non-transferable license to access and use the platform in accordance with these Terms.

7. Warranty Disclaimer

The services, website, and all generated outputs are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, statutory, or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or business commercial success. We do not guarantee that any idea validated through the platform will achieve sales, funding, or profitability.

8. Limitation of Liability

To the maximum extent permitted by applicable law, neither Niche Monitor Team nor its affiliates, partners, or licensors shall be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, goodwill, data, or business interruption.

Our aggregate liability arising out of or relating to your use of the platform shall not exceed the total amount paid by you to Niche Monitor in the twelve (12) months preceding the incident giving rise to liability.

9. Indemnification

You agree to defend, indemnify, and hold harmless Niche Monitor Team and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your violation of these Terms, your deployment of misleading or unlawful landing pages, or your infringement of any third-party intellectual property or privacy rights.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to this agreement shall first be negotiated in good faith between the parties. If unresolved within 30 days, disputes shall be submitted to the competent courts of Ghana.
